Terms of Service

These Terms of Service govern all quotations, orders, products, and services provided by Phillips Printing Company, Inc. (“Phillips Printing,” “we,” “our,” or “us”). By placing an order or using our services, the customer agrees to these Terms.
Quotations and Pricing
Quotes are valid for 30 days unless otherwise stated. Prices may change due to specifications, quantities, paper cost, paper availability, ink, postage rates, freight, tariffs, labor, customer-supplied materials, regulatory or supplier changes.
Orders and Changes
A purchase order, signed estimate, email approval, or online approval constitutes authorization to proceed. Customer-requested changes after production begins may result in additional charges and revised delivery dates.
Artwork, Files, and Proofs
Customers are responsible for ensuring file accuracy, supplying print-ready files meeting published specifications, and final proof approval. Phillips Printing is not responsible for errors contained in customer-approved artwork including content, spelling, layout, bleeds, image resolution, colors, barcodes, QR codes, or variable data.
Proof Approval
Production will begin only after required proof approval. Approval signifies acceptance of all content and layout.
Color and Manufacturing Tolerances
Printed colors may vary from on-screen images, throughout a production run, or from previous printings due to equipment, substrates, inks, and manufacturing tolerances. Exact color matching is not guaranteed. Reasonable manufacturing tolerances, including color variation, material variation, registration, trimming, folding, die cutting, coating, binding, and finishing, are to be expected and shall not constitute defects.
Overruns and Underruns
Industry-standard quantity variations may occur. Unless otherwise agreed, shipments within plus or minus 5% of the ordered quantity satisfy the order and will be billed accordingly.
Customer-Supplied Materials
Customer-furnished paper, envelopes, mailing lists, or other materials are accepted at the customer’s risk. Phillips Printing is not responsible for data content, material shortages, or adverse processing or manufacturing results due to customer-supplied materials.
Variable Data
Customer is responsible for list accuracy, ownership, legality, permissions, and compliance with applicable privacy and anti-spam laws. Phillips Printing is not responsible for errors or the processing of confidential or inappropriate information originating from customer data.
Mailing Services
United States Postal Service regulations and postage rates in effect at time of mailing govern all mailings. NCOA, CASS, presort, and related postal services are performed only when included in the quotation. Data processing outside of standard procedures will incur additional charges.
Shipping and Delivery
Delivery dates are estimates unless expressly guaranteed in writing. Risk of loss transfers upon delivery to the carrier unless otherwise agreed.
Warehousing and Fulfillment
Paid and unpaid printed inventory and customer materials stored by Phillips Printing may be subject to storage charges. Unless otherwise agreed, unclaimed inventory may be recycled or disposed of after reasonable notice.
Payment Terms
Payments of invoices are due according to agreed credit terms. Late balances may incur finance charges and collection costs as permitted by law. Printed work remaining unpaid may be retained or recovered until payment is received.
Taxes
Applicable sales, use, or other taxes are the customer’s responsibility unless a valid exemption certificate is provided prior to invoicing.
Cancellation
Orders cancelled after work begins are subject to charges for work performed, materials purchased, and nonrecoverable costs.
Claims and Warranties
Claims for shortages, defects, or shipping damage must be made promptly after receipt. Phillips Printing must be given a reasonable opportunity to inspect the work before replacement or credit is issued. Phillips Printing may repair, reprint, replace, or issue an appropriate credit at its discretion. Except as expressly stated, goods and services are provided as is, including any disclaimer of implied warranties of merchantability and fitness for a particular purpose where legally permitted.
Intellectual Property
Customers represent that they possess all necessary rights to reproduce submitted content and agree to indemnify Phillips Printing from claims arising from customer-supplied content or materials.
Confidentiality and Data Security
Phillips Printing will use commercially reasonable measures to protect confidential customer information but cannot guarantee absolute security. Electronic file transfer involves inherent risks. Customers should retain backup copies of all submitted files. Phillips Printing will notify customers of material security incidents affecting customer information when required by applicable law.
Privacy
Customer information will be handled in accordance with applicable laws and Phillips Printing’s Privacy Policy.
Limitation of Liability
To the fullest extent permitted by law, Phillips Printing’s liability for any claim shall not exceed the amount paid for the affected order. Phillips Printing shall not be liable for indirect, incidental, special, consequential, punitive, or lost-profit damages.
Force Majeure
Phillips Printing is not liable for delays or failures caused by events beyond its reasonable control, including supply shortages, transportation disruptions, labor disputes, cyber incidents, governmental actions, utility outages, or natural disasters.
Governing Law
These Terms are governed by the laws of the State of Tennessee. Any legal action shall be brought forth in the state of Tennessee unless otherwise agreed.
Dispute Resolution
Before initiating litigation, all parties agree to attempt in good faith to resolve disputes through executive-level discussions and, if mutually agreed, mediation. Applicable legal rights or statutes of limitation shall not be waived.
Severability
If any provision is unenforceable, the remaining provisions remain in effect.
Entire Agreement
These Terms, together with any accepted quotation(s) or written agreement(s), constitute the entire agreement between the parties and supersede prior understandings. Phillips Printing Company, Inc. reserves the right to modify these Terms of Service at any time by publishing an updated version on its website.
